1. Acceptable Use

You will use ProAILeads for lawful B2B purposes only. You agree to comply with applicable privacy, email, and anti-spam laws (including CAN-SPAM, GDPR, and local regulations) in all outreach efforts.

2. Accounts & Security

You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. Prohibited Email Content

You agree NOT to send emails containing:

• Phishing or impersonation attempts
• Spam or unsolicited bulk email to purchased lists
• Malware, viruses, or malicious links
• Harassment, threats, or defamatory content
• Illegal products or services
• Adult or explicit content
• Content violating CAN-SPAM, GDPR, CASL, or local anti-spam laws
• Deceptive subject lines or sender information

Violation of this section may result in immediate account suspension without notice or refund. We scan email content to protect our platform and all users.

4. User Responsibility for Email Campaigns

• You are solely responsible for ensuring you have the legal right to contact leads obtained through our service
• You must honor unsubscribe requests within 10 business days (CAN-SPAM requirement)
• You must include a valid physical postal address in all commercial emails
• You must not use misleading "From" names or subject lines
• You must identify messages as advertisements when required by law
• You are responsible for maintaining your sender reputation

ProAILeads monitors bounce rates and complaint rates. Accounts exceeding industry thresholds (5% bounce rate or 0.1% complaint rate) may be automatically suspended to protect our email infrastructure.

5. Data Processing & Usage

By using our service, you agree that:

• Scraped business leads may be cached to improve service performance for all users
• Aggregated, anonymized email performance patterns may be analyzed to improve our AI features
• Your email content is stored for up to 90 days for analytics and compliance purposes
• We may use usage data to improve our lead generation and enrichment algorithms

6. Customer Responsibilities

• Obtain necessary consents for email marketing and outreach when required by law
• Maintain email reputation with compliant practices and clean contact lists
• Use integrations (Zapier, HubSpot, etc.) in accordance with their respective terms
• Not circumvent usage limits or rate limiting through multiple accounts
• Report any security vulnerabilities responsibly to help@proaileads.com

7. Intellectual Property

ProAILeads retains all rights in the platform, including AI software, models, algorithms, and documentation. Lead data obtained through our service may be used for your business purposes but may not be resold or redistributed.

8. Indemnification

You agree to indemnify, defend, and hold harmless ProAILeads, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Email content you send through the platform
• Leads you contact without proper consent or legal basis
• Violations of anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
• Your breach of these Terms of Service
• Any third-party claims related to your use of the service

9. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law:

• We do not guarantee the accuracy or completeness of lead data
• We do not guarantee email deliverability rates
• We are not responsible for how you use leads obtained through our service
• We disclaim liability for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the 12 months preceding the claim

10. Termination

We may suspend or terminate access immediately and without notice for violations of these terms, particularly for email abuse or spam-related violations. You may cancel at any time through your account settings. Upon termination, your access to leads and email features will be revoked, but we may retain certain data as required by law or for legitimate business purposes.

11. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the service after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
